1.1    The following terms and conditions govern the use of games including but not limited to Spin & Win, Shopee Farm, Shopee Candy, Shopee Bubble, Shopee Pets, Shopee Kiap Kiap, Shopee Words, Shopee Shake, Shopee Throw, Surprise Treats and Shopee Mixmix) (“Games”) provided by Shopee Mobile Malaysia Sdn. Bhd. (hereinafter referred to as “Shopee”) on Shopee’s websites and mobile applications.

1.2    By participating in any of the Games, you agree unconditionally and irrevocably to be bound by, and shall be deemed to accept, these terms and conditions (“Games Terms and Conditions”) and any rules and regulations relating to the relevant Games (“Participation Terms”), in addition to our Terms of Service, Privacy Policy,  all applicable terms and conditions and/or Shopee policies (“Shopee Policies” and together with the Participation Terms, the “Shopee Terms”), which are incorporated by reference into these Participation Terms. Capitalised terms used and not defined herein have the same meaning as given to such terms in the Terms of Service and/or Shopee Policies.

1.3    Only participants with a registered Shopee account (“Participant”) are entitled to participate in the Games and to receive, and/or redeem any prizes in relation to any Games.

1.4    Shopee shall have sole and absolute discretion to determine whether an individual is qualified to participate in and/or is disqualified from any Games.

1.5  The availability of the Games shall be subject to the availability and functionality of resources including but not limited to the Shopee mobile application as well as the capability of Shopee’s systems. Shopee does not make any representation, warranty and/or undertaking on the performance and capability of the Shopee mobile applications, the Games and/or any software or hardware used with the Games, any application accessed by a Participant using the Shopee mobile applications and/or the Games, or the reliability or quality of the underlying telecommunications network accessed by such Participant through the Games.

1.6    If for any reasons any aspect of the Games is not capable of running as planned, including by reason of computer virus, communications network failure, bugs, tampering, unauthorized intervention, fraud, technical failure or any cause beyond the control of Shopee, Shopee may cancel, terminate, modify, and/or suspend the Games and invalidate any effected activities, or suspend or modify any Shopee Vouchers, gifts, Shopee Coins, giveaways or any other rewards (“Rewards”).

1.7  To receive notifications in relation to the Games, Participant(s) should turn on notifications to receive in-app messages.

1.8    By participating in any Games, Participant agrees and acknowledges that:

(i)     all personal data submitted through the Participant’s Shopee account may be collected, processed, stored, disclosed, used or otherwise used by Shopee in accordance with our Privacy Policy and for the purposes of facilitating, conducting and administering the Games or Participants’ use of the Games including but not limited to displaying on scoreboards in relation to the Games; and/or

(ii)   Shopee shall have the right to use the Participants’ names, photos, voices, likeness and/or biographical information for promotional, advertising, marketing and other purposes in relation to the Games without compensation.

1.9  Apple has no obligation whatsoever to provide any maintenance and support services with respect to the Rewards. Shopee and not Apple shall be responsible for addressing any claims that a Participant or any third party may have, in relation to a Games and/or Reward.

1.10  Shopee reserves the sole and absolute right to:

(i)        deny any Reward to any winner(s) at any point in time;

(ii)      replace at any time, any of the Rewards stated with another prize which, in its sole and absolute discretion, is of equivalent value;

(iii)    disqualify any Participant(s) from any Games and/or to forfeit any Rewards at any given time at its sole and absolute discretion without prior notice; and

(iv)   request winner(s) to provide proof of identity for the purposes of claiming the prize(s) won.

1.11  Where Shopee deems that a Participant has committed fraud, illegal acts, or otherwise breached the Shopee Terms, Shopee reserves the right, at its sole and absolute discretion to:

(i)       cancel, not to give, or void any Rewards redeemed or awarded to a Participant;

(ii)      prevent or restrict access of the Participant to any Games and/or the Shopee platforms;

(iii)    report any activity it suspects to be in violation of any applicable law, statute or regulation to the appropriate authorities and to co-operate with such authorities;

(iv)  cancel any orders placed during a Participant’s participation in the Games and/or in connection with any Rewards; and/or

(v)     exclude the Participant from all future Games and/or the Shopee platforms.

 In such cases, the Participant will not be entitled to either claim against or hold Shopee responsible.

1.12  Each Participant acknowledges and agrees that the Participant shall:

(i)       comply with all applicable laws and regulations when participating in the Games;

(ii)  be responsible for all information that is communicated, submitted, transmitted or otherwise made available during such Participant’s participation in the Games whether to Shopee or third parties;

(iii)      be responsible for complying with the Shopee Terms; and

(iv)   not participate in the Games or permit the participation in the Games in any manner which may adversely affect other customers' or Participants’ participation in the Games or the goodwill or reputation of Shopee.

1.13 Shopee shall not be liable for any claims, costs, injuries, losses or damages of any kind whatsoever arising out of or in connection with any Games and/or Reward (including but not limited to any losses, damages, fines, regulatory actions, claims, costs, injuries, losses or damages related to personal injuries, death, damage to, loss or destruction of property, right of publicity or privacy, defamation, or portrayal in false light), arising from or related to the Games including but not limited to:

(i)       such Participant’s breach of the Shopee Terms;

(i)    any alleged unauthorised transactions, disruptions, errors, defects or unavailability in relation to the Games; and/or

(ii)    any loss of data or damage to any of the Participant’s equipment, to the fullest extent permitted by law.

1.14  Shopee will not compensate any Participants for any accidental acts and/or omissions by the Participants in relation to any Games (including any accidental transactions in the form of in-Game boosters purchase or redemption of prizes).

1.15  In the event that any liabilities are not excluded above, Shopee’s maximum aggregate liability to any Participant, whether under all applicable laws of contract, tort or otherwise, shall be RM100.00 (or the equivalent value of such amount in local currency), to the fullest extent permitted by law.

1.16  In the event of inconsistency between:

(i)       Games Terms and Conditions;

(ii)      Participation Terms;

(iii)    Shopee Policies; and

(iv)    any marketing or promotional materials related to Games,

this Games Terms and Conditions shall prevail.

1.17  Shopee has sole and absolute discretion to update, modify or change the Games and/or the Participation Terms from time to time, or withdraw or discontinue any Game at any time, without prior notice and/or liability to the Participants. In the event of variation of these Participation Terms, if a Participant continues to participate in or use the Games thereafter, such Participant shall be deemed to have accepted and shall be bound by such amended terms.

1.18  The laws of Malaysia shall apply and govern these Participation Terms. Any dispute arising out of or relating to this Participation Terms, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to it shall be referred to and finally resolved by arbitration administered by the Asian International Arbitration Centre under the AIAC Arbitration Rules in force when the notice of arbitration is submitted. The seat of arbitration shall be Kuala Lumpur. The number of arbitrators shall be one. The arbitration proceedings shall be conducted in English.

2.     REWARDS

2.1    Subject to these Participation Terms, points scored and obtained during the course of Game(s) may be accumulated by the Participant as Shopee Coins and exchangeable for Rewards.

2.2     For the avoidance of doubt, the award of any Rewards shall not be considered as, or constitute, a reservation of any gifts, products, or goods and products of any specific brands, for sale on the Shopee platforms.

2.3  In the event prize(s) awarded in relation to a Game are to be redeemed by the Participant(s) through the redemption store (“Redemption Store”), the Participant(s) agrees and acknowledges that the redemption or claim of prize(s) through the Redemption Store are on a first-come, first-served policy. Shopee does not guarantee that any prize(s) on the Redemption Store shall be readily available and/or Participant(s) are entitled to redeem or claim any prize(s).

2.4  After successful redemption through the Redemption Store or directly awarded through the applicable Game(s), all prizes in the form of Shopee Coins and Shopee Vouchers will be credited to the Participant’s Shopee account.

2.5  Participants agree and acknowledge that Shopee Vouchers are subject to varying terms and conditions, and it is the Participants’ obligation to check the applicable voucher(s)’ terms and conditions within the Participant’s Shopee account.

2.6   Shopee reserves the right to decide and alter the expiration date of any Rewards, or forfeit any Rewards issued to you. Expired Shopee Vouchers shall be deemed as forfeited and any request to extend such voucher(s)’ validity (or to exchange such voucher(s) for any in-game items) shall not be entertained.

2.7   Rewards have no cash or monetary value and may not be exchanged for currency in any form. Under no circumstances shall Rewards be purchased, resold, exchanged, or transferred by, or to, Participants, for monetary value or otherwise. Save for where expressly permitted by Shopee, Rewards shall not be regarded, construed, implied, or used as valuable or exchangeable instruments under any circumstance.

2.8  Rewards are subject to availability. The quantity of Rewards issued to the Participants, the conversion rates amongst Rewards, as well as the redemption mechanism of the Rewards is determined by Shopee and may change from time to time at its sole and absolute discretion. Each Participant will bear any and all expenses arising from and/or relating to the receipt of any Rewards, including personal income tax (if any) and shipping fees thereof.

2.9   In the event physical prize(s) are successfully redeemed or claimed by a Participant through the Redemption Store or directly awarded through the applicable Game(s), the physical prize(s) will be delivered to the address indicated on the applicable order, with the shipping fee for such delivery borne by the Participant. Shopee will not accede to requests for address changes once the order has been confirmed and Shopee shall not be liable for any damages and/or losses in relation to the delivery of such prize(s).

2.10   Delivery of physical prize(s) may take up to thirty (30) working days from the date of successful redemption or award and Participant(s) may track the delivery under “My Purchases” of such Participant’s Shopee account.

2.11   All physical prize(s) in relation to the Game(s) are subject to the following conditions:

(i)      photographs are for illustrative purposes only, the actual product may differ in color and design, depending on the colour reproduction on the applicable computer or mobile device;

(ii)        Shopee shall not be liable for defects or warranty related issues; and

(iii)      models and colorways can be subject to change due to stock issues.

2.12   Unless expressly provided in writing, Shopee makes no representation or warranty in relation to any Reward (including the condition or suitability for any purpose) and shall not be liable in connection thereof.

2.13  Participants who wish to submit a claim to Shopee in respect of any discrepancies or errors in crediting any Reward may be required to provide a screenshot or such other supporting evidence as may be required by Shopee. Failure to do so shall result in the claim being rejected.

3.       GAMES

3.1 Games offered by Shopee are intended solely for the purpose of a Participant’s personal entertainment and personal benefit. The use of such Games for business or commercial purposes is strictly prohibited.

3.2   Participants are prohibited from running the Games with programs other than the Shopee mobile application which shall include but are not limited to automated bots and other tools meant to replace or supplement the Shopee mobile application. In addition, scripts and/or automated programs providing Participant(s) with any advantage over other Participant shall also be prohibited.

3.3   Participants shall not:

(i)      create or use cheats, mods and/or hacks, or any other third-party software products that may change the results or gameplay of the Games;

(ii)     use software that allows the mining of data or otherwise intercepts or collects information in connection with the Games;

(iii)     use virtual items (including deal, platform or brands vouchers) that are being used in the Games outside of the Games other than for purchase through Shopee, purchase virtual items for “real” money, or sell or swap virtual items;

(iv)     sell, buy or trade Participant(s)’ Shopee accounts; and

(v)      engage in any activities and/or actions which may:

(a)   compromise or interrupt the proper functioning of the Shopee platforms including but not limited to any individual services and/or offers thereof and/or any of the Games; and

(b) allow unauthorized access to data.

The foregoing shall include all circumventions and/or actions that produce an effect in line with the aforementioned prohibitions.

3.4  Where Shopee deems that a Participant has breached of any of the Shopee Terms, including fraudulently participating in the Games, Shopee reserves the right, at its sole and absolute discretion to:

(i)     prevent or restrict access of any Participant to any of the Games or the Shopee platforms;

(ii)     report any activity it suspects to be in violation of any applicable law, statute or regulation to the appropriate authorities and to co-operate with such authorities; and/or

(iii)     cancel any orders placed during a Participant’s participation in the Games.

3.5   The Participant agrees and acknowledge that by playing the Games, such Participant accepts that Shopee shall not be responsible to such Participant for any losses, damages, fines, regulatory actions, claims or compensation of whatever nature arising from or related to the Games including but not limited to (i) such Participant’s breach of the Shopee Terms, (ii) any alleged unauthorised transactions, disruptions, errors, defects or unavailability in relation to the Games, or (iii) any loss of data or damage to any of the Participant’s equipment, to the fullest extent permitted by law.

3.6 The Games contain media, data, images, text, graphics, music, sounds, sound sequences, videos, software programs and codes, and other information provided or developed by Shopee and/or third parties (“Content”). Content shall also include any services available for download through the Games.

3.7 Content developed and owned by Shopee and/or third-party intellectual property owners are protected by trademarks, copyrights or other applicable means. Unless otherwise explicitly agreed to in writing by Shopee and/or explicitly permitted within these Participation Terms, a Participant and/or any third party shall not edit, copy, distribute, publicly reproduce and/or use the Content or any portion thereof for any purposes.

3.8 Copyright information and brand names where applicable shall not be changed, hidden or removed.

3.9   Each Participant acknowledges and agrees that he/she shall:

(i)     comply with all applicable laws and regulations to the fullest extent when participating in the Games;

(ii)  be responsible for all information that is communicated, submitted, transmitted or otherwise made available during such Participant’s participation in the Games whether to Shopee or third parties;

(iii)      be responsible for complying with the Shopee Terms; and

(iv)   not participate in the Games or permit the participation in the Games in any manner which may adversely affect other customers' or Participant’s’ participation in the Games or the goodwill or reputation of Shopee.

In the event there are any questions or feedback regarding any Games, please notify Shopee via live chat in the chat support function. Shopee’s decision regarding any feedback is final and binding on the Participant.
