The following terms and conditions govern the redemption and/or use of all digital promotional codes and/or vouchers (“Shopee Voucher(s)”) provided by Shopee Mobile Malaysia Sdn. Bhd. (“Shopee”) on Shopee’s website and mobile application (“Platforms”).

By redeeming and/or using the Shopee Voucher(s), you agree unconditionally and irrevocably to be bound by, and shall be deemed to accept these terms and conditions and any rules and regulations relating to the relevant Shopee Voucher (together, the “Shopee Voucher Terms”), in addition to Shopee’s Terms of Service, Privacy Policy, Terms and Conditions for Shopee Games, all applicable terms and conditions and/or Shopee policies (“Shopee Policies” and together with the Shopee Voucher Terms, the “Shopee Terms”), which are incorporated by reference into these Shopee Voucher Terms. Capitalised terms used and not defined herein have the same meaning as given to such terms in the Terms of Service and/or Shopee Policies.

Shopee Voucher(s) includes but are not limited to the following:

1. Shopee Coin Cashback Voucher;
2. Guaranteed On-Time Voucher; Free Shipping, Next Day Delivery and/or other delivery vouchers;
3. Digital promotional code(s) and/or voucher(s) issued in relation to the Shopee Brand Members;  
4. Digital promotional code(s) and/or voucher(s) issued as Reward(s) to winners of applicable Shopee Games and Contests; 
5. Digital promotional code(s) and/or voucher(s) issued in collaboration with its partners; and/or
6. any other digital promotional code(s) and/or voucher(s) issued by Shopee, from time to time. 

1.       Redemption and Usage of Shopee Vouchers

1.1.     Subject to and in addition to the applicable Shopee Voucher Terms for redemption:

1. only users with a registered Shopee account (“Shopee User(s)”) are entitled to receive and redeem Shopee Voucher(s) for usage; and
2. Shopee Voucher(s) are to be redeemed by the Shopee User within the applicable redemption period.

1.2.    Subject to and in addition to the applicable Shopee Voucher Terms for usage, redeemed Shopee Voucher(s):

1. 1. will be stored in the applicable Shopee User’s voucher wallet; and
   2. will only be valid for order(s) and/or transaction(s) satisfying conditions applicable to any individual Shopee Voucher, including but not limited to: 
      

      i. user eligibility;

      ii. minimum spend;

      iii. specific products and/or services;

      iv. validity period;

      v. voucher caps; and/or

      vi. payment method(s).

   3. can only be used for a one-time purchase. 

1.3.    Unredeemed and/or unutilized Shopee Voucher(s) after their applicable validity period(s) will not be compensated or reimbursed in any way by Shopee to the Shopee User(s). Expired Shopee Vouchers shall be deemed as forfeited and any request to extend such voucher(s)’ validity (or to exchange such voucher(s) for any other items) shall not be entertained. No retroactive use of any Shopee Voucher(s) is permitted. Any unutilised portion of a Shopee Voucher shall be automatically forfeited.

1.4.  For the avoidance of doubt, Shopee Voucher(s) are to be applied to the applicable transaction(s) by the Shopee User(s) at the checkout page and Shopee Voucher(s) are only valid for transaction(s) conducted through the Platforms. 

1.5.   The Shopee Users agree and acknowledge that Shopee Vouchers are subject to varying terms and conditions, and it is the Shopee Users’ obligation to check the applicable voucher(s)’ terms and conditions within the Shopee User’s Shopee account. Unless otherwise stated, Shopee Vouchers are not valid in conjunction with other promotions or discounts.

1.6.   Shopee Vouchers have no cash or monetary value and may not be exchanged for currency in any form. Under no circumstances shall Shopee Vouchers be purchased, resold, exchanged, or transferred for monetary value or otherwise. Shopee Vouchers shall not be regarded, construed, implied, or used as valuable or exchangeable instruments under any circumstance.

2.          Shopee’s rights

2.1.    Shopee reserves the right at its sole and absolute discretion:

1. to alter the expiration date of any Shopee Vouchers as well as to prescribe additional terms and/or conditions in respect of any Shopee Vouchers (including changing or introducing any new benefit mechanics and/or qualification criteria);
2. to reject any Shopee Voucher(s) that have been tampered with or found in any way unacceptable; and
3. where Shopee deems that a Shopee User has committed suspicious, fraudulent, illegal acts, voucher abuse or otherwise breached the Shopee Terms, to:

1. cancel any order(s), transaction(s) and/or benefit(s) placed, made and/or enjoyed by the Shopee User in connection with any Shopee Voucher(s);
2. cancel, revoke, or void any Shopee Voucher(s) redeemed by the Shopee User;
3. prevent or restrict access of the Shopee User to the Platforms;
4. report any activity it suspects to be in violation of any applicable law, statute or regulation to the appropriate authorities and to co-operate with such authorities; and/or
5. exclude the Shopee User from all future redemption and/or usage of Shopee Voucher(s).

In such cases, the Shopee User shall not be entitled to either claim against or hold Shopee responsible.

2.2.   For the avoidance of doubt, Shopee Voucher(s) that are offered by Shopee are offered at Shopee’s sole and absolute discretion.

2.3.   Shopee has sole and absolute discretion to update, modify or change the Shopee Voucher Terms from time to time, without prior notice and/or liability to the Shopee Users (as defined below). In the event of variation of these Shopee Voucher Terms, if a Shopee User continue to redeem or use the Shopee Voucher thereafter, such Shopee User shall be deemed to have accepted and shall be bound by such amended terms.

3.            General

3.1.     The Shopee Users acknowledge and agree that such Shopee Users shall:

1. comply with all applicable laws and regulations when redeeming and using the Shopee Voucher(s);
2. be responsible for all information that is communicated, submitted, transmitted or otherwise made available during such Shopee User’s redemption and/or usage of the Shopee Voucher(s) whether to Shopee and/or applicable third parties;
3. be responsible for complying with the Shopee Terms; and
4. not participate in the redemption(s) or use the Shopee Voucher(s) in any manner which may adversely affect other Shopee User(s) or their redemption and/or usage of the Shopee Voucher(s) or the goodwill or reputation of Shopee.

3.2.    The availability of the Shopee Voucher(s) shall be subject to the availability and functionality of resources including but not limited to the Platforms as well as the capability of Shopee’s systems. Shopee does not make any representation, warranty and/or undertaking on the performance and capability of the Platforms and/or any software or hardware used with the Shopee Voucher(s), any application accessed by a Shopee User using the Platforms, or the reliability or quality of the underlying telecommunications network accessed by such Shopee User through the Platforms. 

3.3.   If for any reasons any aspect of the Platforms, including but not limited to the Shopee Voucher(s) is not capable of running as planned, including by reason of computer virus, communications network failure, bugs, tampering, unauthorized intervention, fraud, technical failure or any cause beyond the control of Shopee, Shopee may invalidate, cancel, terminate, modify, and/or suspend any Shopee Voucher(s).

3.4.   Shopee shall not be liable for any claims, costs, injuries, losses or damages of any kind whatsoever arising out of or in connection with any Shopee Vouchers (including but not limited to any losses, damages, fines, regulatory actions, claims, costs, injuries, losses or damages related to personal injuries, death, damage to, loss or destruction of property, right of publicity or privacy, defamation, or portrayal in false light), arising from or related to the Shopee Vouchers including but not limited to: 

1. 1. such Shopee User’s breach of the Shopee Terms;
   2. any alleged unauthorised transactions, disruptions, errors, defects or unavailability in relation to the Shopee Vouchers and/or the Platforms;
   3. any loss of data or damage to any of the Shopee User’s equipment, to the fullest extent permitted by law; and/or
   4. unsuccessful order(s) and/or transaction(s) made using Shopee Voucher(s).

1. these Shopee Voucher Terms;
2. Shopee Policies; and
3. any applicable terms and conditions related to the applicable Shopee Voucher(s). 

the order of precedence shall be: 

1. the applicable terms and conditions related to the individual Shopee Voucher(s);
2. these Shopee Voucher Terms; and 
3. Shopee Policies, 

3.8     The laws of Malaysia shall apply and govern these Shopee Voucher Terms. Any dispute arising out of or relating to these Shopee Voucher Terms, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to it shall be referred to and finally resolved by arbitration administered by the Asian International Arbitration Centre (AIAC) under the AIAC Arbitration Rules in force when the notice of arbitration is submitted. The seat of arbitration shall be Kuala Lumpur. The number of arbitrators shall be one. The arbitration proceedings shall be conducted in English.
