1. Introduction
1.1. Welcome to the Shopee Direct Program (“Program”). This Program is a program provided by your local Shopee entity, Shopee Mobile Malaysia Sdn. Bhd. (“Shopee MY”) for sellers who meet these Terms and Conditions (“you” or “Malaysia Seller”), to allow Sellers based in Malaysia to set-up an account with overseas Shopee platform (“Shopee Overseas” and together with Shopee MY and their respective affiliates, “Shopee”) and sell your products (“Products”) directly to buyers on the Shopee Overseas platform (being the website and mobile shopping applications provided and operated by Shopee Overseas).
1.2. Shopee reserves the right to change, modify, suspend or discontinue all or any part of this Program and the terms of these Terms and Conditions at any time or upon giving you notice. Shopee may release certain services of the Program which may or may not work correctly or in the same way the final version may work. In such an instance, Shopee shall not be liable towards you in any way. Shopee may also impose limits on certain features or restrict your access to parts of, or the entire Program, in its sole discretion and without notice or liability.
1.3. By signing up for the Program, you hereby accept and are bound by these Terms and Conditions, Shopee MY’s Seller Education Hub articles, Help Center articles, Terms of Service and all other policies (collectively, “Shopee MY Policies”), and the terms and conditions (including but not limited to Shopee Overseas’ Terms of Service), Seller Education Hub articles, Help Center articles, Terms of Service and all other policies of the Shopee Overseas platform of your overseas shop (collectively referred to as “Shopee Overseas Policies” and together with Shopee MY Policies, the “Shopee Policies”).
1.4. These Terms and Conditions shall be read together with the Shopee Policies which shall apply to you as a Malaysia Seller and Shopee Overseas seller under this Program. In the event of any conflict between these Terms and Conditions and the Shopee Overseas Policies, the provisions in these Terms and Conditions shall prevail. For the avoidance of doubt, nothing in these Terms and Conditions shall release you from any of your obligations, liabilities, representations or warranties pursuant to the Shopee Policies or by operation of law.
2. Eligibility
2.1. This Program is only eligible to Malaysia Sellers who meet Shopee’s requirements, including the following (“Eligibility Requirements”):
2.1.1. The Malaysia Seller must have a West Malaysia pick-up address;
2.1.2. Satisfactory seller and shop performance (as further detailed in the Seller Education Hub articles);
2.1.3. Products do not exceed the weight and dimension limits as prescribed by Shopee in the Shopee Policies;
2.1.4. Product must not be an item which is prohibited by the logistics service provider delivering your Product from your Shopee MY market to the Shopee Overseas market;
2.1.5. Product must comply with applicable laws of your Shopee MY market and the Shopee Overseas market; and
2.1.6. You comply with all terms under the Shopee MY Policies and the Shopee Overseas Policies.
2.2. Shopee shall have sole and absolute discretion in determining whether you are qualified to participate in or are disqualified from the Program. Shopee reserves the right to remove you from the Program in the event that you fail to comply with any of the Eligibility Requirements above.
3. Delivery
3.1. Shopee provides one-stop cross-border logistics service transporting your Products from the Shopee MY market to the Buyer’s location in the Shopee Overseas market, including sorting and transshipment of Products in the warehouse of the Shopee MY market, international logistics transportation, import and export customs clearance and delivery to the Buyer’s designated address in the Shopee Overseas market.
3.2. Shopee will arrange for the delivery of the Products to the Shopee Overseas buyers through selected logistics service providers. You acknowledge and agree that Shopee MY, Shopee Overseas and Shopee may at any time engage third party subcontractors (including Shopee affiliates) to assist (including, for the avoidance of doubt, any value-added services which may be offered to you from time to time) in carrying out any or all the services referred to herein.
3.3. Seller’s Rights and Obligations
3.3.1. You can send the Products to our warehouse by courier or arrange logistics transportation by yourself. The Products shall be accompanied by a goods list and other documents and information required by Shopee. You shall truthfully declare the content, quantity, value, weight and other information in the goods list, and shall provide the accurate shipping address and the information of the recipient. You are responsible for the authenticity, legality and completeness of the information you declare. If the content or quantity of the Products is inconsistent with the goods list during the inbounding process, or the information of the recipient is incomplete, Shopee may reject the Products. Shopee shall not be liable if the Products are delayed or unable to be delivered due to any incorrect information that you provide.
3.3.2. You shall guarantee that the Products comply with Shopee’s requirements as well as relevant laws and regulations, national/regional or industrial standards of the import and export country/region and that the Products do not infringe the rights of any third party. You shall also provide relevant qualification documents and certificates based on the foregoing requirements. For Products that require approval and inspection procedures, you shall provide Shopee with proof of completion of relevant procedures. You shall assume all liabilities that arise due to lack of the foregoing documents.
3.3.3. You shall pack the Products according to the packaging standards published on the Shopee platform, and the packaging shall meet the national/regional or industrial standard of the import country/region, or the principle of ensuring the transportation safety if there is no such national/regional or industrial standard. You shall assume all liabilities if the package is improperly packed.
3.3.4. If, due to the quality defects of your Products, packaging defects or other reasons that can be attributable to you, the transported items, transportation tools, mechanical equipment or other items of Shopee or any third-party are contaminated, corroded, damaged, or cause any personal injury or death, you shall be fully liable for such damages.
3.3.5. You shall indemnify Shopee or any third party for the entire economic losses caused by the late delivery or value loss of other Products, arising from the forfeit, detainment or change in delivery route because your Products are or contain prohibited items.
3.4. Shopee’s Rights and Obligations
3.4.1. Shopee may unpack and inspect the parcels or Products in accordance with applicable laws. If the parcels or Products are found to belong to or contain any prohibited items (including but not limited to the items prohibited to be sold or transported by the applicable laws and regulations, and the items listed in Shopee’s Policies including Shopee’s Prohibited and Restricted Items Policies) during inspections or the transportation process, Shopee may process these parcels or Products in accordance with relevant applicable laws and regulations as well as Shopee policies based on the severity of the violation, including but not limited to returning the parcels or Products to you or turning them over to the relevant authority and charging you the additional costs incurred. If Shopee or the third-party service providers suffer any loss due to any prohibited items, including but not limited to penalties or forfeitures by the customs or other administrators, you shall compensate Shopee or the relevant third-party service providers for all losses incurred.
3.4.2. If, during unpacking and inspection or the transportation process, the parcels or Products are found to be empty, inconsistent with the information you have declared or other requirements of Shopee policies, Shopee may reject, return or destroy the parcels or Products with the additional costs borne by you in accordance with Shopee Policies as it deems fit. If Shopee has reasonable grounds to believe that you have engaged in fraudulent or suspicious activity and/or transaction, it may at its sole discretion dispose of the Products at your costs and claim against you for relevant legal liabilities (including but not limited to deducting from your sale proceeds the losses caused by you to Shopee) without notifying you or obtaining your consent.
3.4.3. Shopee may correct the declared weight of your Products without notifying you if you fail to honestly or accurately declare the weight of the Products.
3.4.4. While we endeavour to deliver the Products in accordance with our regular delivery schedules, Shopee shall not be liable to you for any form of compensation in the event of delay in the delivery of the Products.
3.4.5. The rights and obligations set out in the clauses herein may be undertaken and/or exercised by Shopee’s affiliates or any third party service provider.
3.5. All cross-border transactions are subject to the import and export laws and regulations of the place of shipment and the place of receipt. You should be familiar with the relevant import and export restrictions of the countries/regions where the Products are imported or exported. You understand that Shopee does not provide legal advice on import and export and agree that you will bear all risks and responsibilities related to the import and export of cross-border transactions.
3.6. In the event of failed deliveries or refund and/or return of a Product by the Shopee Overseas Buyer, the Shopee Policies (including the Refunds and Return Policy) shall apply, except that:
3.6.1. If the Product has not departed from the Shopee MY transit warehouse, you may request a return of the Product at your own expense to the address provided by you to Shopee within the specified time notified to you by Shopee. If you fail to provide instructions to Shopee within the specified time notified to you by Shopee, you shall be deemed to have forfeited all rights to such Product, and Shopee has the right to decide the disposal of the Products at its own discretion. You shall bear all losses of such Products and be responsible for any fee incurred thereof or any fee thereof paid by Shopee on your behalf, including but not limited to customs duties, customs clearance service fees and shipping costs, etc.; or
3.6.2. If the Product has departed from the Shopee MY transit warehouse, you acknowledge and agree that (i) the Product shall not be shipped back to you; (ii) Shopee reserves the right to dispose of such Product in any manner it deems fit; and (iii) you shall be deemed to have forfeited all rights to such Product. Shopee shall have the absolute discretion to make the final decision on whether any compensation shall be made to you in respect of a failed delivery or refund and/or return reason.
Examples of failed deliveries include the following:
(a) Buyer rejects or fails to collect the Products;
(b) Products fail to obtain import and export permit from customs authorities;
(c) Products are detained or forfeited due to violations of border entry-exit management laws and regulations or Shopee’s policies regarding prohibited items; and
(d) Buyer’s failure to pay applicable taxes for purposes of customs clearance.
3.6.3. (For Singapore market only) The return of the Product to an address determined by you (in West Malaysia or Singapore) shall only apply to Products where the Singapore buyer has raised a refund request for SGD27 or above with respect to that Product. Products where the Singapore buyer has raised a refund request below SGD27 with respect to that Product shall be disposed of by Shopee without any liability towards you.
3.7. Loss or damage during delivery
3.7.1. In the event that there are any issues with a delivery (including delays, damage or loss of the Product), you shall notify Shopee in writing and provide such information as requested by Shopee within the prescribed time, failing which Shopee shall have no liability to you whatsoever in connection with such Product. For the avoidance of doubt, your obligation to pay fees shall not be prejudiced by this paragraph. Further details on the compensation process are set out in the Shopee Policies.
3.7.2. The maximum compensation limit for a single order shall be set out in the Seller Education Hub articles. If the maximum compensation limit is not specified in the Seller Education Hub articles, it shall be limited to the actual value of the Products or USD 50 (whichever is lower), and the compensation is limited to the direct economic losses of the Products, for which you shall submit the relevant written proof of the actual value of the Products or direct economic losses. The cumulative amount of compensation available to you within one calendar year shall not exceed USD 10,000. If you have obtained insurance compensation or third-party logistics protection plan indemnity or compensation for the above economic losses, the compensation process shall be the responsibility of such party, and Shopee shall not be liable for any compensation to you.
3.8. Seller shall bear all the taxes arising from the import and export of the Products, except where Shopee or the Buyer agrees to bear such taxes, or if the Buyer is required to bear the taxes for the importation of the Products on certain Shopee Overseas platform in accordance with local tax laws. In the event of failure to pay applicable import taxes, Shopee may handle the matter in accordance with these Terms and Conditions or in any manner as deemed appropriate by Shopee.
3.9. All return shipping fees (if applicable) shall be borne by you unless stated otherwise by Shopee.
4. Fees and Payments
4.1. Shopee may charge you fees for the Program (including but not limited to transaction fees, delivery fees, commissions, service fees, platform support fee, marketing fees, storage fees, shipping fees, returns and refunds, etc.) and any applicable taxes etc. (collectively, "Fees"). The details of the Fees can be found in the Seller Education Hub articles on the Shopee Platform. Shopee has the right to adjust the service rate from time to time according to the policy updates of each country/region. The rates of the various Fees will be updated from time to time, and you need to pay special attention to update notifications from Shopee. If you continue to participate in the Program after the effective date of the change notification, you will be deemed to have accepted such changes.
4.2. For services provided during peak periods such as public holidays or Shopee sales promotions, Shopee may adjust applicable fees and the service levels accordingly.
4.3. You acknowledge and agree that Shopee may deduct the Fees payable by you to Shopee under these Terms and Conditions or other applicable agreements/terms of service from the sales proceeds received from the Shopee Overseas Buyer. Upon your request, Shopee shall provide the receipt or detailed bill of the fees and taxes paid by you (if applicable).
4.4. Notwithstanding the above paragraphs, you agree that the Fees to be made to Shopee hereunder shall be free of all withholding and if any such withholding is required, you shall pay an additional amount to the local competent tax authority such that after deduction of all amounts required to be withheld, the net amount of the payment will equal, on an after tax basis, the amount of Fees that would be due absent such withholding to Shopee.
4.5. You acknowledge and agree that the payment method, currency and exchange rate applicable to the fee settlement between you and Shopee shall be determined and adjusted in accordance with the policies or rules announced by Shopee at that time; if you disagree with this clause, you should communicate with your account manager or Shopee’s customer service agents in a timely manner.
4.6. You authorize us to initiate debit or credit entries to your Seller Balance (including where this would result in your Seller Balance’s balance remaining or becoming negative) in the following circumstances, including but not limited to:
(a) Correct any errors that occur during the transaction process;
(b) When Shopee determines that you are suspected of fraudulent or suspicious activities and/or transactions;
(c) Deal with any lost, damaged or non-conforming merchandise;
(d) Process any rewards or discounts;
(e) Process any uncollected fees;
(f) Handle the resolution of any transaction disputes, including any compensation payable to you or payable by you;
(g) Handle any prohibited goods or goods detained by customs;
(h) Processing changes in sales and purchases agreed upon by you and the Shopee Overseas buyer; and
(i) When you enable the automatic recharge function and your advertising balance is lower than the set minimum balance, to recharge your advertising balance for your advertising account.
4.7. The amounts due to you for the sales of Products and other amounts due to you (such as amounts received from Shopee refunds) will be paid to you regularly according to Shopee's arrangements (after appropriate adjustments, including but not limited to deducting fees payable by you to Shopee). Shopee may pay you through any available payment channels (collectively referred to as "Payment Accounts"). You must provide Shopee with the payment details requested by Shopee in order for Shopee to process payments.
4.8. If for any reason Shopee is unable to deposit funds into your designated payment account and/or is unable to contact you, Shopee will make reasonable efforts to contact you using the contact information you provided. If you cannot be contacted and the buyer's purchase funds remain unclaimed for after they should have been paid to the Seller, Shopee will deal with such unclaimed buyer's purchase funds at its discretion or otherwise in accordance with applicable laws.
4.9. The seller must be the beneficial owner of the Payment Account and can only conduct transactions on the Platform on his/her own behalf. Shopee may require you to provide personal information of the relevant company and person in charge, such as recent ID photos, bank account details and/or any other such necessary documents (including but not limited to those required for third-party payment verification processes or logistics delivery service requirements) for verification purposes. You hereby consent to Shopee using or providing your information to third parties to facilitate your use of the Shopee platform and the administration of this Program. In addition, you authorize Shopee to use your information to conduct inquiries that Shopee deems necessary to verify your identity with the appropriate entity. 5. Compliance with Law and Disclosure of Information
5.1. You represent and warrant that (a) all Products sold by you comply with the laws of Shopee MY and Shopee Overseas markets, including but not limited to, the export and import of such Products from the Shopee MY market to the Shopee Overseas markets, respectively; and (b) the listings made available on the Shopee Overseas platform shall not infringe upon the copyright, trademark or other intellectual property rights of third parties and the publication and distribution of the listings on the Shopee Overseas platform will not infringe the rights of any third parties.
5.2. You acknowledge and agree that any information or documents you have provided to Shopee MY and Shopee Overseas may be disclosed by Shopee in accordance with Shopee’s obligations and/or at the request of any relevant regulatory or law enforcement authorities, or pursuant to court orders, whether in the Shopee MY market or the Shopee Overseas market (such as import and export declarations, and invoice issuance) for purposes of exercising Shopee’s rights and/or compliance with applicable laws and regulations.
5.3. You shall not disclose to third parties any non-public information or data provided to you by Shopee.
6. Indemnity
6.1. You agree to indemnify, defend and hold harmless Shopee (including Shopee MY and Shopee Overseas) and our respective shareholders, subsidiaries, affiliates, directors, officers, agents, co-branders or other partners, and employees (collectively, the "Indemnified Parties") from, and at our option, defend us against, any and all claims, actions, proceedings, investigations, regulatory inquiries and suits (hereinafter a “Proceeding”) and all related liabilities, damages, settlements penalties, fines, costs and expenses (including, without limitation, any legal fees or other dispute resolution expenses) incurred by any Indemnified Party arising out of or relating to:
(a) your actual or alleged breach of any provision of these Terms and Conditions or any Shopee Policies;
(b) the transportation or delivery of prohibited items or other unlawful goods;
(c) any incorrect, misleading, or erroneous information provided to us or any third party in connection with the Program;
(d) your use or misuse of the Program;
(e) your breach of any applicable laws, any intellectual property rights or any rights of a third party;
(f) any content uploaded by you; or
(g) any tax compliance costs or tax liability incurred by us in connection with your activities, arising out of your non-compliance with applicable tax laws or us being deemed as your tax agent.
6.2. In the event of any Proceeding against or directed at Shopee or any Indemnified Parties in any overseas jurisdiction in which your products are listed for sale pursuant to the Program, you agree that Shopee or any Indemnified Parties subject to such Proceeding may implead or name you, or disclose your identity and related information, in any such Proceeding and that you, to the fullest extent permissible under the applicable law, (a) consent to and will not oppose the exercise of jurisdiction over you in any such Proceeding; (b) will not assert any claims, counterclaims, or cross-claims against Shopee or any Indemnified Parties in any such Proceeding; and (c) consent to accept service of process in connection with any such Proceedings, and consent to service via email insofar as service via email is deemed to be a valid form of service under law.
7. Force Majeure
7.1. No party will be liable to the other or be deemed to be in breach of these Terms and Conditions by reason of any delay or failure to perform any of its obligations due to an event or cause beyond such party’s reasonable control (“Force Majeure”), including the following:
(a) acts of god including earthquakes, cyclones, storms, flooding, fire, disease, fog, snow or frost;
(b) acts of war, accidents, sabotage, insurrection, acts of public enemies, strikes, embargoes, perils of the air, act of terrorism, local disputes or civil commotions;
(c) national or local disruptions in air or ground transportation networks and mechanical problems to modes of transport or machinery;
(d) applicable laws, regulations, by-laws, prohibitions or measures of any kind on the part of any governmental, parliamentary or local authority;
(e) import or export regulations or embargoes;
(f) interruption of traffic, strikes, lock-outs or other industrial actions or trade disputes (whether involving our employees, or third party workers);
(g) criminal acts of third parties such as theft and arson; and
(h) health epidemics declared by the World Health Organization.
7.2. Upon the occurrence of any event of Force Majeure, we may, at our option, fully or partially suspend delivery/performance of obligations hereunder while such event or circumstance continues. If any of the events of Force Majeure continues for a period exceeding one (1) month, we may notify you that we will terminate our obligations to you under these Terms and Conditions with immediate effect.
8. Exclusions and Limitations of Liability
8.1. Shopee does not assume any express or implied warranties or guarantees, or other liabilities to you in relation to the Program.
8.2. By listing and selling items through the Program, you are directly entering into a sales transaction with Shopee Overseas buyers. Except for the rights and obligations stipulated in these Terms and Conditions, Shopee shall not assume any responsibility or warranty for the Products that you list for sale. Shopee is not responsible for any damages, investigations, or penalties, including damages caused to any third parties, arising from the listing of your items. Shopee reserves the right to cancel any order created through the Program in the event that the transaction violates or is likely to violate the law or Shopee Policies.
8.3. Shopee shall not be liable for indirect, incidental, special, exemplary or consequential damages, including loss of use, loss of profits or interruption of business, however caused or on any theory of liability.
8.4. You agree that Shopee shall not be liable or responsible for any loss and/or damage arising from the following:
(a) inability to complete delivery of the Products if the buyer’s address is incomplete or incorrect;
(b) any non-compliance with any laws and regulations including export control laws, sanction, restrictive measures and embargoes;
(c) in the event any of the Products is seized, detained or destroyed by a government authority; or
(d) any mistake caused by you or your buyer. For example, the Products lack certificates such as brand authorization, the Products belong to or contain prohibited items, you fail to comply with Shopee Policies including improper handling/packaging of the Products, failure to provide shipping address, invoice or other materials correctly or timely, or the buyer refuses to cooperate with the customs clearance or fails to provide any necessary documents.
9. Withdrawal and Termination
9.1. Shopee may terminate your participation in the Program at any time, with or without reason, including but not limited to the following:
(a) your actual or alleged breach of any provision of these Terms and Conditions or any Shopee Policies;
(b) your use or misuse of the Program;
(c) your breach of any applicable laws or any rights of a third party; and/or
(d) Shopee believes that you are not eligible to continue participating in the Program.
