1. Introduction
1.1. Welcome to the Shopee MY-SG Direct Programme (“Programme”). This Programme is an additional service provided by Shopee Mobile Malaysia Sdn. Bhd. (“Shopee MY”) for Shopee MY registered sellers who meet the terms of this Terms and Conditions (“you” or “Malaysia Seller”) and to allow Malaysia Sellers to set-up an account with Shopee Singapore Private Limited (“Shopee SG”) and sell their products (“Products”) directly to Singapore buyers on www.shopee.sg.
1.2. Shopee reserves the right to change, modify, suspend or discontinue all or any part of this Programme and the terms of these Terms and Conditions at any time or upon giving you notice. Shopee may release certain services of the Programme which may or may not work correctly or in the same way the final version may work. In such instance, Shopee shall not be liable towards you in any way. Shopee may also impose limits on certain features or restrict your access to parts of, or the entire Programme, in its sole discretion and without notice or liability.
1.3. By completing and submitting the MY-SG Direct Programme (Interest & Seller Sign Up Form), you hereby accept and are bound by the terms of these Terms and Conditions, the articles relating to the Programme under our Seller Education Hub, and the terms and conditions of Shopee SG’s Terms of Service (“SG TOS”) and all other Shopee SG’s policies including those found here (collectively referred to as “Shopee SG Policies”). Capitalised terms unless defined herein shall have the meaning prescribed to it under the SG TOS.
1.4. This Terms and Conditions shall be read together with the Shopee SG Policies and shall be applied to you collectively as a Shopee SG seller under this Programme. In the event of any conflict between this Terms and Conditions and the Shopee SG Policies, the terms in this Terms and Conditions shall prevail.
2. Eligibility
2.1. This Programme is only eligible to Malaysia Sellers who meet the following requirements (“Eligibility Requirements”):
2.1.1. The Malaysia Seller must have a West Malaysia pick-up address;
2.1.2. Products do not exceed the weight and dimension limits as provided in this article;
2.1.3. Product must not be an item which is prohibited by the logistics service provider delivering your Product from Malaysia to Singapore;
2.1.4. Product must comply with applicable laws of Malaysia and Singapore; and
2.1.5. You comply with all terms under the Shopee SG Policies.
2.2. Shopee reserves the right to remove you from the Programme in the event that you fail to comply with any of the Eligibility Requirements above.
3. Delivery, Return and Refund of Products
3.1. Shopee SG will arrange for the delivery of the Products to the Singapore buyers through selected logistics service providers. You may request for a change in logistics service provider to deliver the Products, but such request is subject to Shopee SG’s discretion.
3.2. The Refunds and Return Policy shall apply to the Products sold under this Programme save and except that:
3.2.1. the return of the Product to an address determined by you (in West Malaysia or Singapore) shall only apply to Products where the Singapore buyer has raised a refund request for SGD27 or above with respect to that Product;
3.2.2. Products where the Singapore buyer has raised a refund request below SGD27 with respect to that Product shall be disposed of by Shopee without any liability towards you.
3.3. All return shipping fees shall be borne by you unless stated otherwise by Shopee SG.
4. Fees and Payments
4.1. Shopee has the right to charge you fees for the Programme in accordance with these Terms and Conditions, including but not limited to transaction fees, commissions, service fee, etc. The rates of the various fees will be updated from time to time, and you need to pay special attention to and will receive update notifications from Shopee. If you continue to participate in the Programme after the effective date of the change notification, you will be deemed to accept such changes.
4.2. You acknowledge and agree that Shopee may deduct the amount payable by you to Shopee under these Terms and Conditions or other applicable agreements/terms of service (including but not limited to transaction fees, commissions, service fees, marketing fees, storage fees, shipping fees, returns and refunds, etc.) and any applicable taxes (collectively, "Fees") from the purchase amount received from the Singapore buyer. Upon your request, Shopee shall provide the receipt or detailed bill of the fees and taxes paid by you (if applicable).
4.3. You acknowledge and agree that the payment method, currency and exchange rate applicable to the fee settlement between you and Shopee shall be determined and adjusted in accordance with the policies or rules announced by Shopee at that time; if you disagree with this clause, you should communicate with your account manager or Shopee’s customer service agents in a timely manner.
4.4. You authorize us to transfer in or out your buyer's purchase amount and related balance in the following circumstances, including but not limited to:
4.4.1. Correct any errors that occur during the transaction process;
4.4.2. When Shopee determines that you are suspected of fraudulent or suspicious activities and/or transactions;
4.4.3. Deal with any lost, damaged or non-conforming merchandise;
4.4.4. Process any rewards or discounts;
4.4.5. Process any uncollected fees;
4.4.6. Handle the resolution of any transaction disputes, including any compensation payable to you or payable by you;
4.4.7. Handle any prohibited goods or goods detained by customs;
4.4.8. Processing changes in sales and purchases agreed upon by the Singapore buyer and Malaysia seller; and
4.4.9. When you enable the automatic recharge function and your advertising balance is lower than the set minimum balance, to recharge your advertising balance for your advertising account.
4.5. The amounts due to you for the sales of Products and other amounts due to you (such as amounts received from Shopee refunds) will be paid to you regularly according to Shopee's own arrangements (after appropriate adjustments, including but not limited to deducting fees payable by the seller to Shopee). Shopee may pay you through any available third-party payment channels (collectively referred to as "Payment Accounts"). You must provide Shopee with your detailed payment account information for payment.
4.6. If for any reason Shopee is unable to deposit funds into your designated payment account and/or is unable to contact you, Shopee will make reasonable efforts to contact you using the contact information you provided. If you cannot be contacted and the buyer's purchase funds remain unclaimed for more than twelve (12) months after they should have been paid to the Seller, Shopee will deal with such unclaimed buyer's purchase funds in accordance with any applicable laws.
4.7. The seller must be the beneficial owner of the Payment Account and can only conduct transactions on the Platform on his/her own behalf. Shopee may require you to provide personal information of the relevant company and person in charge, such as recent ID photos, bank account details and/or any other such necessary documents (including but not limited to those required for third-party payment verification processes or logistics delivery service requirements) for verification purposes. You hereby consent to Shopee using or providing your information to third parties to facilitate your use of the Platform. In addition, you authorize Shopee to use your information to conduct inquiries that Shopee deems necessary to verify your identity with the appropriate entity. 5. Compliance with Law and Disclosure of Information
5.1. You represent and warrant that all Products sold by you shall comply with both Malaysia and Singapore laws, including but not limited to, the export and import of such Products from Malaysia and to Singapore, respectively.
5.2. You acknowledge and agree that your legal information including any information or documents you have provided to Shopee SG or Shopee MY as a seller may be disclosed by Shopee SG or Shopee MY at the request of any government authorities whether in Malaysia or Singapore (such as import and export declarations, and invoice issuance) to protect the legitimate rights and interests of consumers and implementation of laws and regulations.
6. Indemnity
6.1. You agree to indemnify, defend and hold harmless Shopee MY, Shopee SG, and their respective shareholders, subsidiaries, affiliates, directors, officers, agents, co-branders or other partners, and employees (collectively, the "Indemnified Parties") from and against any and all claims (whether through legal forum or not), actions, proceedings, investigations, regulatory inquiries and suits (hereinafter a “Proceeding”) and all related liabilities, damages, settlements penalties, fines, costs and expenses (including, without limitation, any legal fees or other dispute resolution expenses) incurred by any Indemnified Party arising out of or relating to your violation or breach of any term of this Terms and Conditions or any Shopee SG Policies, your breach of any law or any intellectual property rights or other rights of a third party, or any Content uploaded by you.
