1. INTRODUCTION
1.1 Shopee Bid Programme is a Programme run by Shopee Mobile Malaysia Sdn. Bhd. (“Shopee”) on Shopee Malaysia platform, where Eligible Sellers (defined below) may participate to offer the best price for certain products which have been whitelisted by Shopee. The Programme is available for participation until such date as Shopee may determine in its absolute discretion (“Programme Term”).
1.2 These Programme terms and conditions (“Programme Terms and Conditions”) supplement the Shopee Terms of Service and the other Shopee Policies, of which these Programme Terms form a part – please read the Shopee Terms of Service and the other Shopee Policies available on the Site as they contain important information regarding your rights and obligations. Any terms that are used in these Programme Terms and Conditions that are not defined here will have the meanings given to such terms in the Shopee Terms of Service and/or the applicable Shopee Policy. All terms and conditions described in these Programme Terms and Conditions are subject to change at Shopee’s discretion.
1.3 Shopee may modify these Programme Terms and Conditions at any time by posting the revised Programme Terms and Conditions on the Site. These Programme Terms and Conditions are further supplemented by the article “Introducing Real Time Bidding in the Shopee Bid Programme”, which shall be read and construed as forming part of the terms of this Programme. Your continued participation in the Programme after such changes have been posted shall constitute your acceptance of such revised Programme Terms and Conditions.
2. PARTICIPATION
2.1 This Programme is open to invited Shopee Sellers who: (i) offer their products on the Shopee Malaysia platform only; and (ii) meet certain eligibility criteria (“Eligible Seller”).
2.2 Shopee has sole discretion to determine eligibility criteria of Sellers for this Programme from time to time.
3. BIDDING
3.1 Sellers may view the product types that are eligible to participate in bidding at any time through several entry points in the Seller Centre as follows:
3.1.1 To-do list
3.1.2 Quick bidding dashboard on the Seller Centre homepage
3.1.3 Product menu > Top banner at My Products tab
3.1.4 Marketing menu > Campaign tab of Marketing Centre tab
3.2 During the Programme Term, Shopee may publish certain types of products (“Whitelisted Products”) with the following information:
3.2.1 a recommended price floor to sellers and the final price of the Seller’s listing if they choose to apply the recommended price floor; and
3.2.2 the minimum stock required for the relevant Whitelisted Product.

3.3 The publication of Whitelisted Products for bidding may be carried out on a daily basis for a period of time as determined by Shopee (“Bidding Period”).
3.4 Eligible Seller may offer for sale, products that match the Whitelisted Products and Whitelisted Information by submitting the Eligible Seller’s proposed price floor at the Shopee Seller Centre to match or better the Whitelisted Information (“Bid”). The "price floor" refers to the lowest price bid that the Eligible Seller is willing to make. The Eligible Seller’s Bid may be lower than the Whitelisted Information provided. For all intents and purposes, the Bid is made and determined by the Eligible Seller based on the Eligible Seller’s own discretion.
3.5 Subject to Clause 3.7 below, Sellers can submit and/or change their price floor at any time. Where price suggestions are made as part of the programme or any feature of the programme, such suggestions are based on objective factors including but not limited to the prices of similar products sold by other sellers on the Shopee Malaysia platform. These suggested prices are not determined or fixed by Shopee.
3.6 During the Bidding Period, Eligible Seller is permitted to:
3.6.1 view the Whitelisted Products to Bid;
3.6.2 amend their price floor with respect to each nominated product;
3.6.3 update the Eligible Seller’s pre-matched Whitelisted Products for bidding, but subject to Shopee’s review;
3.6.4 self-nominate products that Eligible Sellers deem as a match among available bidding groups Shopee provides, but subject to Shopee’s review;
3.6.5 check registration status; and
3.6.6 withdraw the Bid.
3.7 Bidding shall be conducted at periodic time intervals determined by Shopee throughout the Bidding Period, the Eligible Seller with the lowest price, and most suitable stock count and platform performance will be determined as the winning bid (“Winning Bid”). The participating Eligible Sellers will be informed of the results within 48 hours after nomination.
3.8 The Winning Bid may not be withdrawn by the Sellers until after 24 hours upon winning.
4. WINNING BID BENEFITS
4.1 The Eligible Seller of a Winning Bid will receive the following benefits:
4.1.1 Special product labelling;
4.1.2 Placement within the Super Seringgit Microsite; and
4.1.3 Product traffic boosting.

4.2 The Eligible Seller agrees that the Benefits:
4.2.1 are applicable and usable for as long as the seller remains the winner, commencing from the time the Eligible Seller is notified of the Winning Bid (“Benefit Period”);
4.2.2 are applicable and usable for the Winning Bid product only; and
4.2.3 cannot be transferred to another product of the Eligible Seller.
4.3 Products may be sold according to the automatic price adjustment mechanism set out in the article “Introducing Price Follow: Automate Your Bids To Stay Competitive” (https://seller.shopee.com.my/edu/article/25283) and in any case not lower than the price floor set by the Seller (before vouchers are applied) “Program Price”. For a minimum of 24 hours after notification of the Winning Bid, Seller who has won the bid cannot withdraw from the Program and cannot adjust their price floor which results in a price higher than the relevant Program Price. The Seller consents to the price of the products to be automatically adjusted in accordance with the price adjustment mechanism and the parameters set therein. The Seller will honour the product price subject to the automatic price adjustment.
4.3.1 Sellers have to commit all available stocks (“No limit”) in Real Time Bidding. Sellers are still able to submit stocks for other campaign initiatives, the final front end price for this Programme and stock displayed to the buyers for this Programme will be based on Shopee internal algorithm priority.
4.4 If a Winning Bid product becomes uncompetitive due to lack of stock or becomes ineligible for any reason whatsoever, all Benefits may be removed from the Winning Bid.
4.5 Unless the Seller changes their floor price and/or the Seller becomes ineligible to join the Programme for any reason whatsoever, the Eligible Seller shall continue to be entitled to the Benefits insofar as it continues to fulfill all eligibility criteria, complies with the Programme Terms and Condition and remains the Winning Bid.
4.6 Shopee reserves the right to alter and change the benefits at any time.
5. ELIGIBLE SELLER REPRESENTATIONS, WARRANTIES AND UNDERTAKING
5.1 The Eligible Seller hereby warrants and represents that:
5.1.1 it shall comply with these Programme Terms and Conditions, the Shopee Terms of Service and other applicable Shopee Policies at all times; and
5.1.2 it shall not sell its products in any way which may cause it or Shopee to breach applicable laws.
5.2 The Eligible Seller undertakes that it shall sell the Winning Bid product in accordance with the Bid, throughout the Benefit Period.
5.3 The Eligible Seller shall maintain strict confidentiality of all information and documents that are shared to the Eligible Seller by Shopee.
6. NON-ADHERENCE TO WINNING BID
6.1 The Eligible Seller acknowledges and agrees that in the event the Eligible Seller fails to sell its product in accordance with the Winning Bid or breaches any of the terms under these Programme Terms and Conditions, Shopee shall have the right to remove all Benefits from the Eligible Seller and remove the Winning Bid product from all relevant microsites related to the Programme.
7. GOVERNING LAW AND JURISDICTION
7.1 These Programme Terms and Conditions shall be governed by and construed in accordance with the laws of Malaysia without regard to its conflict of law rules. Unless otherwise required by applicable laws, any dispute, controversy, claim or difference of any kind whatsoever arising out of or relating to these Programme Terms and Conditions against or relating to Shopee shall be referred to and finally resolved by arbitration in Malaysia in accordance with the Arbitration Rules of the Asian International Arbitration Centre (Malaysia) (“AIAC Rules”) for the time being in force, which rules are deemed to be incorporated by reference in this Section. There will be one (1) arbitrator and the language of the arbitration shall be English.
