Seller Shipping Fee Saver Programme Terms of Service

Seller Shipping Fee Saver Programme (“Programme”) is a programme on Shopee where Eligible Sellers (defined below) approved by Shopee (“Participating Seller”) will be able to enjoy certain features described in this Terms of Service (“Programme Terms of Service”) when Buyers create orders on Shopee during a Programme Run (defined below). By submitting an application to participate in the Programme (or by continuing to participate in the Programme), you shall be deemed to have consented to the terms and conditions described in this Programme Terms of Service.


This Programme Terms of Service supplement the Terms of Service (“Shopee Terms of Service”), Privacy Policy, Refunds and Return Policy (“RR”) and the other Shopee Policies, of which this Programme Terms of Service forms a part. Capitalised terms used in this Programme Terms of Service that are not defined here will have the meanings given to such terms in the Terms of Service and/or the applicable Shopee Policy. All terms and conditions described in this Programme Terms of Service are subject to change at Shopee’s discretion at any time and Participating Seller’s continued participation in the Programme shall constitute Participating Seller’s acceptance of the changes.


1. Programme Term


a. A Programme Run refers to a single calendar month period in which the Participating Seller participates in the Programme, starting at 00:00:00 GMT+8 of the first calendar day of such period and ending at 23:59:59 GMT+8 of the last calendar day of such period. Shopee may revise the duration of the Programme Run and/or the Programme Run schedule at any time at its sole discretion.


b. Eligible Sellers (defined below) must communicate their intent of participation (and submit all required forms and/or documents) through the Seller Centre no later than 2 full calendar days prior to the commencement of the upcoming Programme Run. By way of illustration, if Programme Run starts at 00:00:00 GMT+8 1st of January, Sellers must express their intent of participation no later than 23:59:59 GMT+8 29th of December.


c. An existing Participating Seller shall be deemed to have consented to participate in the upcoming Programme Run unless the Participating Seller has communicated its intent to discontinue in accordance with Clause 3 below. Such continued participation shall be deemed to have been approved by Shopee, unless notified otherwise by Shopee.


d. Shopee shall have the sole and absolute discretion to determine whether or not to approve any Seller’s participation (including an existing Participating Seller’s participation) in a Programme Run, including the right to revoke any approval following an initial approval. Shopee shall have no obligation whatsoever to provide any Seller with any reasons for Shopee’s decision.


e. Once an Eligible Seller’s participation in the upcoming Programme Run is approved by Shopee, such Seller shall be considered a Participating Seller and must participate in the Programme for the entire duration of the upcoming Programme Run.


2. Eligibility


This Programme is available to all sellers of Shopee, except Cross Border sellers (“Eligible Seller”). Notwithstanding the aforesaid, categorisation and eligibility of sellers may be determined and/or amended by Shopee at Shopee’s sole discretion from time to time.


3. Programme Feature


a. Treatment of Shipping Fee


i. Eligible Seller acknowledges that:


A. Buyers may apply for returns and/or refunds of purchased products (“Product”) from time to time in accordance with the Shopee Terms of Service and the RR; and


B. pursuant to the RR, Eligible Seller may be required to bear certain return shipping fees (“RSF”) and actual shipping fees (also known as forward shipping fees) (“ASF”):


a. For Mall / FBS Sellers, RSF refers to the shipping cost required to transport the Product from the Buyer to the relevant warehouse for inspection during a return and/or refund request from the Buyer which is approved by Shopee (“RR Request”).


b. For all other Sellers, RSF refers to the cost required to transport the Product from the Buyer directly to the Seller during a RR Request.


ii. RSF Savings


A. Under the Programme, Shopee will manage the RR Request and the returns process of Eligible Orders. Participating Seller is not required to bear the RSF of any RR Request arising out of any Eligible Order, subject always to: (i) this Clause 3.a.ii.; (ii) Clause 3.c.; and (iii) to such restrictions (including restrictions intended to deter fraudulent activities or abuse of savings) as may be notified by Shopee to Participating Sellers in writing, from time to time (“RSF Savings”). Shopee may implement the RSF Savings through such method as may be notified to Participating Sellers from time to time, including by not charging Participating Sellers for RSFs. For the purpose of this Programme Terms of Service, “Eligible Order” means any order generated on the Site that:


a. meets such minimum order value as may be notified by Shopee to Participating Sellers in writing from time to time;


b. was generated when the relevant Participating Seller was enrolled in the Programme; and


c. was delivered out by the Participating Seller to the Buyer.


B. For avoidance of doubt:


a. the RSF Savings may be applied after the end of the Programme Run as long as the relevant RR Request had arisen from an Eligible Order generated during the Eligible Run, even if the Participating Seller is no longer enrolled in the Programme at the time that the RSF Savings is applied; and


b. the RSF Savings covers the RSF under the RR Request only, and does not cover any other shipping fee.


C. Shopee may at any time suspend the RSF Savings and charge the full RSF (or any part thereof) if and when Shopee determines (at its sole and absolute discretion) that the Participating Seller has engaged in fraudulent or suspicious activity and/or transactions or is in breach of any Shopee Policy.


D. The RSF Savings will only apply if the Buyer raises the relevant refund and/or return in accordance with the terms of the RR and within the Shopee Guarantee Period.


iii. ASF Savings


A. Under the Programme, Participating Seller is not required to bear the ASF of any RR Request arising out of any Eligible Order, subject always to: (i) an RSF has been granted pursuant to Clause 3.a.ii. above; (ii) this Clause 3.a.iii.; (iii) Clause 3.c.; and (iv) such restrictions (including restrictions intended to deter fraudulent activities or abuse of savings) as may be notified by Shopee to Participating Sellers in writing, from time to time (“ASF Savings”). Shopee may implement the ASF Savings through such method as may be notified to Participating Sellers from time to time, including by not charging Participating Sellers for ASFs.


B. For avoidance of doubt:


a. the ASF Savings may be applied after the end of the Programme Run as long as the relevant RR Request had arisen from an Eligible Order generated during the Programme Run, even if the Participating Seller is no longer enrolled in the Programme at the time that the RSF Savings is applied; and


b. the ASF Savings covers the RSF under the RR Request only, and does not cover any other shipping fee (including, but not limited to, fees for any return-to-seller deliveries).


C. Shopee may at any time suspend the ASF Savings and charge the full ASF (or any part thereof) if and when Shopee determines (at its sole and absolute discretion) that the Participating Seller has engaged in fraudulent or suspicious activity and/or transactions or is in breach of any Shopee Policy.


D. The ASF Savings will only apply if the Buyer raises the relevant refund and/or return in accordance with the terms of the RR and within the Shopee Guarantee Period.


b. Administrative Management of RSF and ASF Charges


i. Under the Programme, Shopee will manage the Participating Seller’s statement of account and automatically reflect the RSF and ASF Savings for Eligible Orders (where applicable) in the relevant statement of account. Participating Seller is not required to provide manual submissions to Shopee for RSF and ASF Savings of any RR Request arising for any Eligible Order.


c. Non-applicability of Monthly Quotas and Increased Cap Limits


i. Under the Programme and subject always to Shopee’s sole and absolute discretion:


A. there will not be any monthly quotas on the number of Eligible Orders that are entitled to the RSF and ASF Savings; and


B. there will be an increase of the aggregate cap limit to RM80 for each Eligible Order, for the RSF and ASF Savings.


2. Programme Fee


a. Shopee charges a service fee (“Programme Fee”) for each Eligible Order. The Programme Fee is borne by the Participating Sellers, and may vary between different Participating Sellers and Program Runs. The amount of the Programme Fee applicable to a Participating Seller in a Programme Run shall be notified to such Participating Seller approximately one (1) calendar month prior to the commencement of such Programme Run.


b. The Programme Fee is inclusive of sales, service, use, consumption, value-added, goods and services and any similar taxes. Each Party shall be responsible for the payment of its own tax liability arising from this Programme as required under the relevant tax laws. Participating Seller may download receipt for the Programme Fee through the Seller Centre.


c. The Programme Fee shall be charged by Shopee through such method as may be notified by Shopee from time to time, including by (i) deducting Programme Fee from the Buyer’s Purchase Monies following the completion of each Eligible Order and remitting the balance to the Participating Seller in accordance with Section 12.2 of the Terms of Service, or (ii) deducting the aggregate Programme Fees in respect of all Eligible Orders completed in a particular calendar month from any monies due to the Participating Seller.


d. Participating Seller agrees that the fees to be paid to Shopee shall be free of all withholding taxes and if any such withholding taxes is required, Participating Seller shall pay an additional amount such that after deduction of all amounts required to be withheld, the net amount of the payment will be equal, on an after tax basis, the amount of fees that would be due absent such withholding tax, to Shopee.


e. For avoidance of doubt:


i. the Programme Fee shall be charged on all Eligible Orders, even if the Participating Seller is no longer enrolled in the Programme at the time the Eligible Order is completed, and/or a successful RR Request has been raised in respect of such Eligible Order; and


ii. the Programme Fee applies in addition to any other fees under the Terms of Service and/or Shopee Policy, if applicable.


3. Notice of Discontinuation


a. Participating Sellers participating in the current Programme Run who no longer wish to participate in the upcoming Programme Run can express their intent to discontinue their participation for the upcoming Programme Run by notifying Shopee through the Seller Center.


b. Such intent of discontinuation must be communicated to Shopee no later than two (2) full calendar days prior to the commencement of the upcoming Programme Run. By way of illustration, if the upcoming Programme Run starts at 00:00:00 GMT+8 1st January, Participating Seller must communicate its intent to discontinue before 23:59:59 GMT+8 29th December.


4. Participating Seller acknowledges and agrees that Shopee may for any reason, in its sole discretion suspend or terminate any Participating Seller’s participation in the Programme (or any part thereof) with immediate effect, without notice or liability or compensation to such Participating Seller, and without prejudice to Shopee’s rights and/or remedies for any breach by the Participating Seller of these Participating Terms of Services. Grounds for such actions may include, but are not limited to:


a. Participating Seller being in breach of any of these Programme Terms of Service, any Shopee Policy or any other agreement the Participating Seller may have with Shopee;


b. Participating Seller has provided any incorrect, false or incomplete information to Shopee;


c. Shopee is of the view that the Participating Seller has caused harm (or is likely to cause imminent harm) to Shopee or any of its personnel, or has engaged in any potentially fraudulent or suspicious activity and/or transactions.
